Pennsylvania’s New Annual Report Requirement: What Business Owners Need to Know

Starting January 6, 2025, Pennsylvania business owners will need to comply with a new state-mandated Annual Report filing. This change impacts most registered entities, including corporations, LLCs, nonprofits, and partnerships.


Who Must File?

The new requirement applies to domestic and foreign business entities, including:

  • Business corporations

  • Nonprofits

  • Limited Liability Companies (LLCs)

  • Limited Partnerships (LPs) and Limited Liability Partnerships (LLPs)

  • Business trusts and professional associations


Entities must submit the Annual Report (DSCB:15-146) via the Pennsylvania Department of State’s online portal: file.dos.pa.gov.


Filing Fee: $7 for most businesses. Nonprofits and certain not-for-profit entities are exempt from the fee.


Key Deadlines by Entity Type:


  • Corporations (for-profit & nonprofit): Must file by June 30 each year.

  • LLCs (domestic & foreign): Deadline is September 30 annually.

  • LPs, LLPs, business trusts, professional associations: Have until December 31 to file.


How This Differs from the BOI Report

Many business owners may confuse the PA Annual Report with the Corporate Transparency Act (CTA) Beneficial Ownership Information (BOI) report.


The key differences are:

  • The PA Annual Report is a state requirement filed with the PA Department of State.

  • The BOI Report is a federal filing submitted to FinCEN under the U.S. Treasury.


Even though both filings involve business-related details, they serve distinct regulatory purposes, and businesses must ensure compliance with each separately.
